RESOLUTION NO. 2015-3 OF THE AMO NATIONAL EXECUTIVE BOARD


EL FARO DISASTER RELIEF FUND

The following resolution was approved unanimously by the American Maritime Officers National Executive Board.

WHEREAS, the AMO National Executive Board, following the tragic recent loss of AMO members aboard the cargo vessel El Faro on October 1, 2015, has determined that it is in the best interest of the AMO that the families of those lost members should receive financial support, now and in the future, to mitigate the devastating losses they have suffered following this tragedy, and

WHEREAS, the AMO National Executive Board is desirous of taking whatever actions can be taken pursuant to Article VI, Section 4 of the AMO National Constitution and applicable law to provide such financial assistance, and whatever other assistance is needed to these lost members' families, and

WHEREAS, the AMO National Executive Board believes these actions can best be accomplished by establishment of a tax-exempt charitable trust fund, pursuant to Section 501(c)(3) of the Internal Revenue Code, as amended,

NOW, THEREFORE, be it resolved that the AMO National Executive Board hereby establishes the AMO El Faro Disaster Relief Fund, a charitable trust, to receive voluntary donations which shall be used by the Trustees designated below and their successors to render financial assistance to the families of members of AMO lost aboard the El Faro for charitable purposes as outlined in an Agreement and Declaration of Trust for the AMO El Faro Disaster Relief Fund, and as allowed by applicable law.

IT IS FURTHER RESOLVED THAT the individuals who will serve on the AMO El Faro Disaster Relief Fund, upon their written acceptance of the duties of Trustee, shall be David Weathers, presently AMO National Vice President, Inland Waters, Thomas Heaton, presently AMO Controller, Marie Doruth, presently Special Assistant to the National President of AMO, and Robert Anderson, presently AMO Dispatching.

The AMO El Faro Disaster Relief Fund as a charitable trust will be governed by the laws of the State of Florida except to the extent preempted by federal law. The Trustees will serve without any compensation.

The Trustees shall provide a report to the AMO National Executive Board at each National Executive Board meeting as to the income, expenses, financial assistance provided, assets, and liabilities of the AMO El Faro Disaster Relief Fund, with an audit to be performed annually by an independent auditor and CPA, and the Trustees shall employ such professional and administrative staff as required.

The funds received by the AMO El Faro Disaster Relief Fund shall be kept in a separate, segregated account and not comingled with any other assets of American Maritime Officers. The Trustees shall enter into the Agreement and Declaration of Trust establishing the AMO El Faro Disaster Relief Fund as a charitable trust forthwith, and thereafter adopt rules and procedures for receipt, investment, and disbursement of donations to the AMO El Faro Disaster Relief Fund.
